Terms of Service

These Terms of Service ("Terms") govern your access to and use of SpyderByte Foundry, the hosted software platform operated by SpyderByte, available at www.spyderbyte.cloud (the "Site"). By creating an account or using the Foundry, you agree to these Terms. If you do not agree, do not use the Site or the Foundry.
1. Description of Service
SpyderByte Foundry is a hosted software platform. Customers purchase one-time workflow packages that run guided, AI-agent workflows inside the platform. These workflows generate business operating documents, brand assets, standard operating procedures, financial templates, and launch checklists (collectively, "Generated Output"). SpyderByte Foundry is software. We make no promises about business results.
2. Accounts and Eligibility
You must provide accurate account information and keep your login credentials confidential. You are responsible for all activity that occurs under your account. You must be able to form a binding contract to use the Foundry.
3. License Grant
Subject to these Terms, SpyderByte grants you a limited, non-exclusive, non-transferable, single-user license to access and use SpyderByte Foundry. Each account is licensed for one login per account, used by a single individual. Sharing a single account login across multiple users, or using automated means to create or operate multiple accounts to circumvent this limit, is not permitted. Additional seats or accounts, where offered, are subject to separate fees.
4. Fees, Billing, and Subscription
Workflow packages are purchased for a one-time fee: Starter ($595 USD), Professional ($1,195 USD), or Complete ($1,995 USD). This fee covers access to the selected workflow package and its guided runs.
Continued access to the platform — including hosting, updates, new workflow versions, and support — is provided under a platform subscription tied to your package:
- Starter: included for 3 months, then $19/month.
- Professional: included for 3 months, then $29/month.
- Complete: included for 6 months, then $49/month.
You may cancel the platform subscription at any time through your account, using the same self-serve process as signing up. No further subscription charges apply after cancellation. Card statements show charges under the descriptor SPYDERBYTE FOUNDRY. Details on refunds for the one-time workflow package fee are set out in our Refund Policy, which forms part of these Terms.
SpyderByte may change the monthly platform subscription price from time to time. We will give you at least thirty (30) days' advance notice of any price increase, by email or by notice in the platform, and the new price takes effect at your next billing cycle after the notice period — never retroactively. If you do not accept a price change, you can cancel your subscription before it takes effect. A one-time package purchase is charged at the price shown at checkout; later price changes do not affect purchases already made or subscription months already included with your package.
Add-on workflow plugins may be made available for purchase separately in the future. Any such purchase will show its own price and terms at checkout before you buy.
5. Third-Party AI Providers (Bring Your Own Key)
SpyderByte Foundry workflows run using an AI provider account that you connect yourself ("BYOK"), such as an account with OpenAI or Anthropic. You are responsible for obtaining and maintaining that provider account, for all charges your provider bills you — whether metered API usage or a subscription plan — and for ensuring that your use of that account through the Foundry complies with your provider's own terms, policies, and plan restrictions. SpyderByte does not resell AI provider compute, does not mark up provider usage, and cannot see your provider invoice or bill.
Your provider API key — or, if you connect by subscription sign-in, the access credential your provider issues — is encrypted at rest, is never written to logs, and is never included in exports of your Generated Output. You may remove a connected key or credential from your account at any time. Per-run and daily spend caps are enabled by default. These caps limit the work the Foundry will start or continue on your behalf, based on usage information your provider makes available; they are not a control on your provider account, do not limit what your provider bills you, and do not apply in dollar terms to provider plans that are not metered in dollars. You can adjust these caps in your account settings, and you remain responsible for monitoring your own provider account, usage, and billing.
AI providers enforce their own rate limits, usage allowances, and reset windows (for example, hourly, five-hour, or weekly allowances). If your provider limits, suspends, or resets your access during a workflow run, the run may pause or stop before it completes. This is outside SpyderByte's control and is not a defect in the Foundry; you can start the run again once your provider access is restored, and additional runs use additional provider capacity. Your use of a third-party AI provider is also governed by that provider's own terms of service and policies, which SpyderByte does not control.
6. Your Content and Generated Output
As between you and SpyderByte, you own the Generated Output produced by workflows run on your account, along with any input content you supply. Generated Output is exportable from the platform and is yours to keep, including after you cancel your platform subscription. SpyderByte claims no ownership interest in your Generated Output.
You grant SpyderByte a limited right to process your input content and Generated Output solely as needed to operate, maintain, and support the platform and your workflow runs.
7. Acceptable Use
You agree not to:
- Use the Foundry to generate, store, or distribute unlawful, infringing, or fraudulent content;
- Attempt to bypass account, licensing, or spend-cap controls, or share a single login across multiple users;
- Reverse engineer, decompile, or attempt to extract the underlying source code of the platform, except where applicable law expressly permits it;
- Interfere with or disrupt the integrity or performance of the Site or the Foundry, including through unauthorized access attempts;
- Resell or sublicense access to the Foundry without SpyderByte's prior written consent.
8. Disclaimer of Warranties
The Site and the Foundry are provided "as is" and "as available." To the fullest extent permitted by law, SpyderByte disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Generated Output is produced by AI-agent workflows and may contain errors or omissions; you are responsible for reviewing Generated Output before relying on it. SpyderByte does not warrant that the Site or the Foundry will be uninterrupted, error-free, or available at any particular time; the platform may be unavailable during maintenance, upgrades, or outages, including outages of third-party AI providers, payment processors, or hosting infrastructure.
9. Limitation of Liability
To the fullest extent permitted by law, SpyderByte will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or relating to your use of the Site or the Foundry. SpyderByte's total liability arising out of or relating to these Terms will not exceed the amount you paid to SpyderByte in the twelve (12) months preceding the claim.
10. Termination
You may stop using the Foundry and cancel your platform subscription at any time through your account. SpyderByte may suspend or terminate your account for material breach of these Terms, including violations of Section 7 (Acceptable Use). Sections 6, 8, 9, 11, and 12 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
12. Force Majeure
SpyderByte will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, governmental action, power or telecommunications failures, internet or hosting provider outages, or failures of third-party services such as AI providers or payment processors. Your payment obligations for services already delivered are not excused by this section.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Foundry after changes take effect constitutes acceptance of the revised Terms.
